Terms of Service

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and “you” refers to both you and that organisation.

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

TuvoDev provides an interface that allows users to interact with third-party and self-hosted artificial-intelligence models. The Service may include features such as multi-model conversations, file and image upload, web search, custom system prompts, and bring-your-own-key (“BYOK”) integrations.

We reserve the right, at any time and without liability, to modify, suspend, discontinue, or restrict any part of the Service, including features, models, availability, quotas, and pricing, with or without notice. We do not guarantee that the Service, or any particular feature or model, will remain available.

Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@tuvodev.com of any unauthorised use or suspected breach of security.

We are not liable for any loss or damage arising from your failure to safeguard your account or credentials. We may suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.

You agree that you will not, and will not permit any third party to:

• use the Service for any unlawful, infringing, harmful, fraudulent, or deceptive purpose, or in violation of any applicable law or regulation;
• upload, generate, or transmit content that is defamatory, obscene, hateful, harassing, violent, or that exploits or harms minors;
• infringe or misappropriate the intellectual-property, privacy, or other rights of any person;
• attempt to gain unauthorised access to the Service, other users' accounts, or any related systems or networks, or probe, scan, or test the vulnerability of the Service;
• reverse-engineer, decompile, disassemble, scrape, crawl, or otherwise extract source code or data from the Service, except to the extent permitted by law;
• use automated means (bots, scripts, crawlers) to access the Service in a manner that exceeds reasonable use, bypasses rate limits or quotas, or imposes an unreasonable load on our infrastructure;
• resell, sublicense, or commercially exploit the Service without our prior written consent;
• misrepresent your identity or affiliation, or impersonate any person or entity;
• use the Service to develop or train a competing product or model without our prior written consent; or
• use the Service to generate or distribute malware, spam, or content designed to deceive or harm.

We may investigate and take appropriate action, including removing content, suspending or terminating access, and reporting to law enforcement, for any violation of this section. We reserve the right to determine, in our sole discretion, whether conduct violates these Terms.

You retain ownership of the prompts, messages, files, and other content you submit to the Service (“Inputs”). By submitting Inputs, you grant TuvoDev a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, process, transmit, and display your Inputs solely as necessary to operate, provide, maintain, secure, and improve the Service, and to comply with legal obligations.

You represent and warrant that you own or have all necessary rights to your Inputs and that your Inputs do not violate any law or the rights of any third party. You are solely responsible for your Inputs and for the consequences of submitting them.

Outputs generated by artificial-intelligence models (“Outputs”) may be inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable. Outputs are generated by automated systems and are provided “as is” without verification by TuvoDev. You are solely responsible for evaluating any Output before relying on it.

The Service does not provide, and must not be relied upon for, professional, legal, medical, financial, tax, accounting, or other expert advice. Always seek the advice of a qualified professional. You acknowledge that any reliance on Outputs is at your own risk.

The Service integrates with third-party providers, including AI-model providers, cloud infrastructure, and authentication services. Your use of those third-party services may be subject to their own terms and privacy policies. We do not control, endorse, or assume any responsibility or liability for third-party services, their availability, or their outputs.

If you connect your own API keys (“BYOK”), you are responsible for all usage, fees, and compliance associated with those keys and the corresponding provider accounts.

Some parts of the Service may be offered free of charge, subject to usage limits, quotas, and rate limits that we may change at any time. Paid features, if any, will be governed by separate terms and pricing presented at the time of purchase. Unless required by law, all fees are non-refundable.

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by or licensed to TuvoDev and is protected by intellectual-property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. You may not use our name, logo, or trademarks without our prior written permission.

Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to that processing.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, TUVODEV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

We do not warrant that the Service will meet your requirements, that Outputs will be accurate or reliable, or that any defects will be corrected. No advice or information obtained through the Service creates any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TUVODEV, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED (100) MALAYSIAN RINGGIT (MYR 100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless TuvoDev, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your Inputs or your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you submit or generate through the Service.

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if necessary to protect the Service, other users, or third parties. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law rules. Subject to any mandatory provisions of applicable law, you and TuvoDev submit to the exclusive jurisdiction of the courts of Malaysia. Before commencing formal proceedings, the parties shall attempt in good faith to resolve any dispute amicably.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms freely. These Terms, together with the Privacy Policy and any additional terms presented to you, constitute the entire agreement between you and TuvoDev regarding the Service.
